Looking for Expert Legal advice. Searching for jurisdiction.
« on: April 16, 2014, 05:45:12 PM »

Hi everyone.

Eddie and I are developing a front-end website to the Bitshares Music Blockchain. In a nutshell, a stock market for music.
This is going to be a centralized corporation. We are currently looking for the best possible jurisdiction and corporate structure for this.

Question to you is, do you know of an expert we can talk to regarding this issue?

We will set up in any country in the world that allows us to operate and taxes us least.

Thank you for your help guys!

Isle of Man for operations with a modified master feeder model using a caribbean nation as the holdings company. Avoid offering securities into the United States as you will likely trigger both the Howey and HMC tests definition of an investment contract. Use the following ruling as a foundation for how to ensure no offering is directed into the United States: http://www.sec.gov/divisions/corpfin/cf-noaction/euro042804.htm.

Perkins Cole has some expertise in these matters.

Cheers

PokerStars and Full Tilt Poker hold their license with the Isle of Man. You would have to think they have done their research and have found plenty of positive reasons to set-up there.
